1. Who we are

Firespace Ltd is a company registered in England and Wales under company number 15545803, with its registered office at 66 Paul Street, London, EC2A 4NA, United Kingdom. You can reach us at support@firespace.co.

2. What these terms cover

They apply to the public website at firespace.co, to the Firespace platform and any workspace, account or tool we make available to you (including support desks and integrations), and to the services we deliver.

Where you have a signed proposal, statement of work or service agreement with us, that document prevails over these terms for the matters it covers. These terms fill the gaps.

3. Accounts

Access to the platform is by invitation. You are responsible for keeping your credentials confidential and for everything done under your account. Tell us at once if you suspect unauthorised access.

You must give us accurate information and keep it up to date. We may suspend or close accounts that breach these terms or that put the platform, other customers or their data at risk.

4. Acceptable use

You agree not to:

• use the platform for anything unlawful, or to store or send unlawful, abusive or infringing content;
• attempt to gain access to accounts, data or systems that are not yours, or to probe, scan or test our security without written permission;
• interfere with the availability of the platform, for example by sending abusive traffic or automated requests beyond normal use;
• resell or sublicense the platform without our written consent;
• use the platform to send unsolicited messages, or in breach of the terms of the messaging channels you connect to it.

5. Services, proposals and fees

Engineering services are delivered under the scope, timeline and fees set out in the corresponding proposal. Changes to scope are agreed in writing and may change the fees.

Unless a proposal says otherwise, invoices are payable within 15 days of issue. Late payment may lead to suspension of services after notice. Fees exclude VAT and other taxes, which are added where applicable.

6. Your content and data

You keep ownership of the content and data you put on the platform. You grant us the rights we need to host, process, back up and display it in order to provide the service.

You are responsible for having the right to upload that content, including any personal data of your customers or employees. How we handle personal data is described in our Privacy Policy.

7. Intellectual property

The platform, its software, design and documentation belong to Firespace Ltd or its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the platform while your account is active.

Deliverables created for you under a proposal are owned as that proposal states. If it says nothing, you own the deliverables once paid in full, and we keep the right to reuse general know-how, tools and components that are not specific to you.

8. Availability and support

We work to keep the platform available and secure, but we do not promise uninterrupted service. Maintenance and incidents may cause downtime. Any service levels or support commitments apply only if written in a proposal.

We may change or discontinue features. If a change materially reduces what you paid for, we will tell you in advance and you may end the affected service.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill. Our total liability under these terms in any 12-month period is limited to the fees you paid us in that period, or £1,000 if you paid nothing.

The platform is provided as is for free or trial use.

10. Termination

You may stop using the platform at any time and ask us to delete your account. We may end your access with notice, or without notice if you seriously breach these terms.

On termination we remove your personal data as described in the Privacy Policy. Work records that belong to a workspace remain with that workspace. Fees already due stay payable.

11. Changes to these terms

We may update these terms. The date at the top shows the current version. For material changes we will notify account holders by email or in the platform before they take effect. Continued use after that date means you accept the new terms.

12. Law and disputes

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer rights in your country of residence.
